The only 2 differnces I can think of off hand is you would need to retain the oil filler tube and the dipstick tube. With the T137, both of these parts are press in, the T245 the oil fill tube bolts on and the dipstick tube threads in. The front pulley and the "Floating Power" front mount are both different, but the T137 parts will fit. The oil pump and distributor have an offset tang on the T245, but will work if you leave them as a pair, or use the centered tang T137 oil pump and distributor. The generator mount is different, but the mounting holes are the same for both. Depending on where your exhaust manifold dumps, it may or may not be the same. (T137 exhaust manifolds came in 2 dump locations, the T245 only 1 but it matches one of the T137. All will interchange on the block) I believe the bell housings are different, but both will bolt up to the block.
Thats all that comes to mind, there may be other differences but they are minor.
